These Terms of Service (“Terms”) govern your use of learnbuilt.com.au, learnbuilt.com, the Learnbuilt client portal, the Learnbuilt store, and any related services or correspondence provided by Joshua Hubbard trading as Learnbuilt (ABN 43 801 367 033) (“Learnbuilt”, “we”, “our”, “us”).
By using the website, contacting us, or accepting a quote you agree to these Terms. If you do not agree, do not use the website or engage our services.
For client engagements involving the production of course materials, the Scope of Work (SOW) signed by both parties is the binding contract for that engagement. These Terms apply alongside the SOW. Where the SOW and these Terms conflict, the SOW prevails for that engagement.
Learnbuilt produces VET course development materials, learner guides, assessment workbooks, assessor guides, compliance mapping, simulated workplace document packs, and Canvas/LMS-ready HTML pages, for Australian RTOs and adjacent training markets.
Learnbuilt produces materials. The client validates them. Every materials package is delivered as draft. The client is solely responsible for validation, contextualisation, currency-checking, and completing their internal ASQA compliance review before delivery to learners.
The client’s responsibilities include:
Learnbuilt does not provide compliance advice, regulatory auditing services, or guarantees of any ASQA outcome.
A quote provided by Learnbuilt is an offer to enter into a SOW on the terms described in the quote. A quote is valid for 30 days from the date of issue unless stated otherwise.
A SOW becomes binding when:
Production work does not commence until both conditions are satisfied and the client has provided the brand configuration described in the SOW.
All prices on the Learnbuilt website and in any Learnbuilt quote are exclusive of GST unless explicitly stated as GST-inclusive. GST is added on all invoices at 10%.
Payment terms for a service engagement:
Digital products purchased through the Learnbuilt store are payable in full at the time of purchase via Stripe.
Up to two to three rounds of minor revisions are included in the price of each unit build. We work with your subject-matter expert until you’re satisfied with the materials. Minor revisions means: factual corrections, typographical fixes, minor rewording, and content reordering within existing sections. We ask that each round be submitted as a single consolidated list, within 12 months of LMS deployment.
Revisions beyond the included rounds, structural changes (new tasks, new modules, additional units, or simorg changes after Stage 6), or requests outside the original scope are change orders at $150/hour with a $300 minimum, payable before work commences.

Upon receipt of full payment, all materials produced under that SOW are assigned to the client for use in delivering the listed qualifications. The client may not resell, sub-licence, or share the materials with partner RTOs without a separate licensing arrangement.
Learnbuilt’s methodology, pipeline, prompts, and templates remain the property of Learnbuilt. Engagement under a SOW does not transfer ownership of the methodology, only of the specific outputs.
Simorg documents included in delivered materials that are based on Learnbuilt’s standard simorg library remain available for use in Learnbuilt’s product library, unless the client has separately engaged Learnbuilt for a bespoke simorg build.
Licensed for use by the purchasing organisation only. Resale or sharing with partner RTOs is prohibited.
To the extent permitted by Australian Consumer Law:
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy that you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot lawfully be excluded.
Digital products purchased from the Learnbuilt store are delivered immediately on payment and are non-refundable except where required by the Australian Consumer Law, for example, if the product is materially different from what was advertised or fails to be of acceptable quality.
If you believe a digital product is faulty, email joshua@learnbuilt.com.au within 14 days of purchase with a description of the issue.
When using the website, the client portal, or any Learnbuilt service you must not:
Either party may terminate a SOW for material breach by the other party that is not remedied within 14 days of written notice.
Termination of a SOW by the client other than for Learnbuilt’s material breach does not entitle the client to a refund of the deposit. Any work completed up to the date of termination is invoiced at the applicable line-item rate.
We may update these Terms from time to time. The current version is always available at learnbuilt.com.au/terms.html. Material changes will be flagged in the “Last updated” date at the top.
For SOWs already signed, the version of these Terms in force at the date of signing applies to that engagement.
These Terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales.
